SpectrumGold Shareholders Overwhelmingly Approve NovaGold Offer

SpectrumGold Inc. (TSX:SGX) and NovaGold Resources Inc. (AMEX,TSX: NG) are pleased to announce that the business combination of SpectrumGold and NovaGold by way of plan of arrangement was approved by the shareholders of SpectrumGold at the SpectrumGold Special General Meeting held today.

The resolution to approve the plan of arrangement was approved by 99.99% of the votes cast by all shareholders and 99.92% of the votes cast by the shareholders excluding NovaGold and other insiders. SpectrumGold will make application on Monday July 12, 2004 to the Supreme Court of British Columbia for a final order approving the plan of arrangement. Closing is anticipated to occur between Thursday July 15, 2004 and Monday August 16, 2004.

Under the plan of arrangement NovaGold will acquire all of the approximately 45% of the common shares of SpectrumGold not currently held by NovaGold in an exchange of shares at a ratio of 1 share of NovaGold for each 1.35 shares of SpectrumGold.

With the conclusion of this transaction NovaGold will have 62.8 million shares outstanding and three of the largest undeveloped resources in North America: the multi-million ounce Galore Creek gold-silver-copper project, the Donlin Creek project in partnership with Placer Dome, and the Ambler Project in partnership with Rio Tinto.

This market cap per ounce of gold is about $US20 pre-feasibility and $50 per ounce post-feasibility.

All this based on $325/ounce, so, as gold is $400/ounce, these data need to be adjusted.
(This refers to Canadian gold companies).

It does show the importance of getting feasibility studies done a.s.a.p.

The Chart shows that Nova Gold (NG.TSX) is at the $20 mark.

The BFS to be between now and start of mining in 2006 (Rock Creek). This to be followed by another 3 mines shortly thereafter.

At present 63 mill shares, price $CAN8.09, Warrants: $CAN3.45,

So, if they want $CAN50 mill, that is about 6.5 mill shares which is peanuts. They'll only make placements, I would think.

They had $CAN57.5 mill cash or cash equivalents on June 30, so cash is not a worry to them, I would say.

The Options and Warrants will bring in cash as well.

Quite a lot of hedging comes about when a Company borrows big from a Bank.

I can't see them hedging unless the gold price is sky high. There shouldn't be any reason to use a Bank for quite some time.

Globe says NovaGold following a profitable channel

The Globe and Mail reports in its Monday, Oct. 18, edition that NovaGold Resources has been in an up-trend for the past four years.

The Globe's Ron Meisels writes that NovaGold stock had a temporary decline below its 40-week moving average in 2003, but quickly resumed the up-trend thereafter.

A powerful up-leg ensued that reached a high of $7.88 in early 2004, followed by a pullback toward its 40-week moving average, then a record high of $8.45.

The stock is currently trading within a rising parallel channel. It is trading above its rising 40-week moving average, and the volatility system indicator and its moving average convergence/divergence indicator are all positive.

Point & Figure measurements provide a target of $9.50 and $10.50 (a 13-per-cent and 25-per-cent appreciation potentials from current levels). Higher targets are also visible, says Mr. Meisels. Only a decline below $6.50 would reverse the positive status of this stock.
